To install offline, you will need to download appropriate iOS .ipsw file for your device.  http://www.enfotainer.com/2011/10/ios-5-ipsw-final-version-availabl.... Check this link.  After you have download it, open itune with your iOS device.  Press Options while you press UPDATE, then point locations of ipsw file.  That should do it, if you haven't jailbrake your phone yet.  Else, you need to Backup ur files and Press Options then RESTORE.  Oh, I used Mac, so u might have to press something else if ur itune is running on PC.

Did you jailbreak your iPhone before and change hosts file in your computer to block access to Apple server?
